Contest Rules

### 1.1 Purpose

tuitui Ltd. ("Company," "we," "us," or "our") invites community members to submit original avatar designs for potential inclusion in the tuitui product line. Selected designs will be made available to all tuitui customers as customizable avatars.

 

### 1.2 Eligibility

- Open to individuals worldwide aged 18 and over

- Company employees, immediate family members, and contractors are not eligible

## 2. SUBMISSION REQUIREMENTS

 

### 2.1 Design Guidelines

Submissions must:

- Be original artwork created by the submitter

- Not infringe on any third-party intellectual property rights

- Not contain offensive, discriminatory, or inappropriate content

- Follow provided technical specifications (format, dimensions, color requirements)

- Be suitable for all ages and cultural backgrounds

 

### 2.2 Prohibited Content

Submissions may NOT include:

- Copyrighted characters, logos, or trademarked material

- Pornographic, violent, or hateful imagery

- Political or religious symbols

- Alcohol, tobacco, or drug references

- Any content that violates laws or regulations

 

### 2.3 Submission Process

- Submit via designated platform (website, email, or social media)

- Include: design file, artist name (or pseudonym), brief description

- One person may submit multiple designs

- Submissions will not be returned

## 3. INTELLECTUAL PROPERTY ASSIGNMENT

 

### 3.1 **COMPLETE IP TRANSFER**

 

**BY SUBMITTING A DESIGN, YOU AGREE TO THE FOLLOWING:**

 

Upon submission, you grant tuitui Ltd. a **non-exclusive, worldwide, royalty-free, perpetual license** to use, modify, and display your design.

 

**IF YOUR DESIGN IS SELECTED** as a finalist or winner, you **irrevocably and permanently assign, transfer, and convey** ALL intellectual property rights in the design to tuitui Ltd., including but not limited to:

 

- **Copyright** - All reproduction, distribution, and derivative work rights

- **Trademark** - Rights to use design as a trademark or service mark

- **Moral Rights** - To the extent permitted by law, you waive all moral rights

- **Commercial Rights** - All rights to commercialize, license, or sell the design

 

### 3.2 What This Means

Once your design is selected:

- **You no longer own the design**

- tuitui Ltd. owns all rights completely

- You cannot sell, license, or use the design elsewhere

- You cannot claim ownership or royalties

- tuitui Ltd. can modify the design without your permission

- tuitui Ltd. can use the design on any products, in any markets, forever

 

### 3.3 Representation and Warranties

By submitting, you represent and warrant that:

- You are the sole, original creator of the design

- The design does not infringe on any third-party rights

- You have full legal right to transfer all IP rights to Company

- No other person or entity has any rights to the design

- The design has not been previously published, sold, or licensed

## 4. SELECTION PROCESS

 

### 4.1 Voting and Judging

- Community voting will narrow submissions to finalists

- Final selection made by Company's design team and management

- Selection criteria: originality, aesthetic appeal, technical feasibility, brand fit

- Company's decision is final and not subject to appeal

 

### 4.2 Winner Notification

- Selected designers will be notified via email or social media

- Winners must respond within 7 days to claim prize

- Failure to respond forfeits prize and selection

## 5. PRIZES AND COMPENSATION

 

### 5.1 Winner Prizes

Selected avatar designers receive:

- **Free tuitui device** (retail value: 1,688 NTD)

- **Public credit** - Name (or pseudonym) credited on website and social media

- **Early access** - First to receive updates on tuitui development

- **Exclusive avatar** - Personal use license (see 5.3)

 

### 5.2 NO ROYALTIES OR ONGOING PAYMENTS

**IMPORTANT:** There are NO royalties, profit-sharing, or ongoing payments. The prize listed above is your complete compensation. You will not receive additional payment if:

- The avatar becomes popular

- Tuitui sells millions of units

- The avatar is used in advertising or merchandise

 

### 5.3 Personal Use License

As a courtesy, winning designers receive a **non-exclusive, non-transferable, personal use license** to display the original design (before modifications) in their personal portfolio, with attribution to "Created for tuitui Ltd."

 

This does NOT grant rights to:

- Sell merchandise featuring the design

- License the design to others

- Create derivative works

- Use the design commercially

## 6. COMPANY RIGHTS AFTER SELECTION

 

### 6.1 Unlimited Use

Tuitui Ltd. may use selected designs:

- On tuitui devices (physical products)

- In marketing materials (ads, social media, website)

- On merchandise (t-shirts, stickers, etc.)

- In future product lines

- Internationally, in all markets

- In any format, medium, or technology

 

### 6.2 Modification Rights

Company may:

- Modify, adapt, or alter the design

- Combine with other designs

- Change colors, size, or proportions

- Create derivative works

- Make any changes without designer approval or notification

 

### 6.3 No Obligation to Use

- Selection does not guarantee the design will be used

- Company may choose not to use a selected design at any time

- No refunds or additional compensation if design is not used

## 7. CONFIDENTIALITY AND PUBLICITY

 

### 7.1 Pre-Selection Confidentiality

- Do not publicly share your submission before winner announcement

- Violation may result in disqualification

 

### 7.2 Publicity Rights

By submitting, you grant Company the right to:

- Use your name, likeness, and biographical information

- Feature you in press releases, social media, and marketing

- Share your design process and story

- You may request to use a pseudonym instead of real name

## 8. DISPUTES AND GOVERNING LAW

 

### 8.1 Governing Law

This agreement is governed by the laws of Taiwan (Republic of China).

 

### 8.2 Dispute Resolution

- Any disputes will be resolved through good-faith negotiation

- If negotiation fails, disputes will be subject to arbitration in Taipei, Taiwan

- Each party bears their own legal costs

 

### 8.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

## 9. ACCEPTANCE OF TERMS

 

### 9.1 How to Accept

By submitting a design, you acknowledge that you have:

- Read and understood these Terms of Service

- Agree to transfer all IP rights if your design is selected

- Understand you will not receive ongoing compensation

- Waive any future claims to ownership or royalties

## 11. AMENDMENT RIGHTS

 

Company reserves the right to modify these terms at any time. Changes will be posted on our website. Continued participation after changes indicates acceptance of modified terms.
